1) Agreement to Terms

By creating an account, clicking "I agree," or using any part of the SokoShot website, app, or related services (the Service), you agree to be bound by these Terms of Service (the Terms) and our Privacy Policy. If you do not agree, do not use the Service. If you are using the Service on behalf of a company, you represent that you have authority to bind that company to these Terms; "you" includes that entity.

We may update these Terms from time to time. If changes are material, we will provide notice (e.g., by email or banner). Your continued use after the effective date constitutes acceptance. The current version controls.

2) Who We Are

SokoShot (the Company, SokoShot, we, us, our) operates from Kenya. Contact details appear at the end of these Terms.

3) Eligibility & Accounts

  • Age. The Service is intended for users 13+. If you are under the age of majority in your province/territory, you must have a parent/guardian's permission. We do not knowingly collect personal information from children under 13.
  • Account accuracy & security. You must provide accurate information and keep your credentials confidential. You are responsible for all activity under your account. Notify us immediately of unauthorized use.
  • Organizations. If you register on behalf of an organization, you must have authority to bind that organization; that organization is responsible for compliance with these Terms.

4) Definitions

  • Customer Content (or Inputs): images, prompts, text, metadata, and other materials you (or your authorized users) upload or submit to the Service.
  • Output: AI‑generated images or other results produced by the Service in response to your Inputs.
  • Third‑Party Services: services not operated by SokoShot (e.g., Stripe and M-Pesa for payments; Google's Gemini model provider; hosting, analytics, email and support tools).
  • Subscription: a paid plan granting access to features for a period; may auto‑renew unless cancelled as described below.

5) Plans, Fees, Billing & Taxes

  • Free tier available. We offer a free tier with limited features. Access to advanced production features requires a paid plan. Plan details and pricing are shown at checkout or in your account.
  • Billing & auto‑renewal. You authorize us and our payment processors (e.g., Stripe, M-Pesa) to charge fees and applicable taxes on a recurring basis until you cancel. Subscriptions automatically renew for successive periods of the same length unless cancelled before the renewal date via your account settings.
  • Refunds. Except where required by law, all fees are non‑refundable once any generation has occurred in the billing period. If no generations occurred after a charge, you may request a good‑faith refund within 7 days of the charge. We reserve the right to deny refunds in cases of misuse, chargebacks, or excessive prior refunds.
  • Price changes. We may change prices prospectively with reasonable notice. New prices apply at your next renewal.
  • Taxes. Fees are exclusive of applicable taxes (e.g., GST/HST/PST). You are responsible for all taxes, duties, and government charges.

6) Acceptable Use

You agree not to misuse the Service. Prohibited activities include (without limitation):

  1. Illegal, harmful, or abusive content: anything unlawful; promoting violence; hate speech; harassment; sexually explicit content involving minors; non‑consensual intimate imagery; or content that violates privacy or publicity rights.
  2. IP infringement: uploading or generating content that infringes third‑party copyrights, trademarks, trade dress, or other rights; using third‑party likenesses without permission.
  3. Deception & safety: deepfakes or misleading content presented as real where harm may result; impersonation; fraud; scams; malware; phishing; automated scraping; attempting to bypass rate limits or security.
  4. Reverse engineering & interference: reverse engineering, copying, or derivative use of the Service or underlying models; probing, scanning, or testing vulnerabilities; interfering with normal operations.
  5. Restricted data: uploading highly sensitive personal data (e.g., government IDs, financial account numbers, health information) unless explicitly requested by us in writing.

We may suspend or terminate accounts for violations, suspected fraud, or risk to users or the Service.

7) Intellectual Property; Inputs & Outputs

  • Your Inputs. As between you and SokoShot, you retain ownership of your Customer Content. You grant SokoShot a non‑exclusive, worldwide, royalty‑free license to host, cache, process, transmit, and display your Inputs solely to provide, maintain, secure, and support the Service (including quality assurance, troubleshooting, abuse prevention, and legal compliance).
  • No training on your content. SokoShot does not use your Customer Content to train or retrain our models. (Third‑party model providers used to process your Inputs are contractually limited to processing as needed to deliver the Output; see §9.)
  • Outputs. Subject to these Terms and applicable law, you may use, reproduce, modify, and commercially exploit Outputs generated from your authorized use of the Service without attribution or royalty to SokoShot. We do not claim ownership in your Outputs.
  • No uniqueness or non‑infringement guarantee. AI generation is probabilistic; similar Outputs may be produced for different users or resemble existing works. SokoShot does not warrant that Outputs are unique, accurate, or non‑infringing. You are solely responsible for evaluating Outputs for your use cases, including conducting appropriate IP clearance when necessary.
  • Feedback. You grant SokoShot a perpetual, irrevocable, worldwide, royalty‑free license to use suggestions, ideas, or feedback you provide to improve the Service without obligation to you.
  • Service IP. The Service, software, documentation, website, designs, and all intellectual property therein are owned by SokoShot and its licensors. No rights are granted except as expressly stated.

8) AI‑Specific Notices

  • Model providers. We use third‑party model providers (currently Google's Gemini models) to process Inputs and generate Outputs. Provider terms and safety filters may influence results. We may change providers or models.
  • Limitations & bias. Outputs may contain errors, artifacts, or biases and should be reviewed by humans before use. Do not rely on Outputs as professional advice.
  • Rate limits & fair use. We may impose technical or contractual limits to protect stability. Excessive or abusive usage may result in throttling or suspension.

9) Privacy & Data Processing Summary

Our Privacy Policy (incorporated by reference) explains what we collect, how we use and share data, and your choices. Key points:

  • We collect email addresses for accounts, payment information via Stripe and M-Pesa (we do not store full card details), usage analytics, and Images/Inputs you upload to generate Outputs.
  • We may share limited data with Third‑Party Services that help operate the Service (e.g., hosting providers; Stripe, M-Pesa; email/support tools; model providers such as Google for Gemini processing). Cross‑border transfers may occur; safeguards are applied.
  • We honor applicable Kenyan privacy laws (Data Protection Act, 2019). See the Privacy Policy for details on rights and contact options.

10) Third‑Party Services

The Service may depend on or link to Third‑Party Services. Your use of those services is governed by their terms and privacy policies. We are not responsible for Third‑Party Services and disclaim liability for their acts or omissions.

11) Availability, Changes & Beta Features

We strive for high availability but do not guarantee uninterrupted Service. We may add, modify, or discontinue features (including models) at any time. Some features may be labeled beta or experimental and provided "as is." We may temporarily suspend access for maintenance, security, or legal reasons.

12) Term & Termination

These Terms remain in effect while you use the Service. You may cancel at any time via your account. We may suspend or terminate access with or without notice if you breach these Terms, create risk, or if required by law. Upon termination:

  • your license to use the Service ends;
  • you retain rights to Outputs generated during valid use, subject to these Terms;
  • we may delete or disable access to your account content after a reasonable period, subject to legal retention.

13) Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON‑INFRINGEMENT, OR AVAILABILITY. WE DO NOT WARRANT THAT OUTPUTS WILL BE ERROR‑FREE, UNIQUE, OR FIT FOR YOUR INTENDED USE.

14) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOKOSHOT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS IN ANY 12‑MONTH PERIOD WILL NOT EXCEED THE GREATER OF KES 10,000 OR THE AMOUNTS YOU PAID TO SOKOSHOT FOR THE SERVICE IN THAT 12‑MONTH PERIOD.

Some jurisdictions do not allow certain limitations; in such cases, the above limitations apply to the fullest extent permitted.

15) Indemnification

You will defend, indemnify, and hold harmless SokoShot and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising from: (a) your Customer Content; (b) your use of Outputs; (c) your breach of these Terms or applicable law; or (d) your use of the Service in violation of third‑party rights.

16) Copyright

We respect intellectual property rights. If you believe content on the Service infringes your copyright, please send a detailed notice to hello@sokoshot.com including: (i) your contact details; (ii) identification of the work claimed to be infringed; (iii) identification of the infringing material and its location; (iv) a statement of good‑faith belief; and (v) a statement attesting to the accuracy of your notice and your authority to act.

17) Export; Sanctions

You represent that you are not located in, under control of, or a national or resident of any country or entity subject to Canadian, U.S., UK, or EU embargoes or sanctions and will not use the Service for prohibited end uses.

18) Governing Law; Venue

These Terms are governed by the laws of Kenya, without regard to conflicts of laws. You consent to the exclusive jurisdiction and venue of the courts located in Nairobi, Kenya for all disputes, except that we may seek injunctive relief in any competent court to protect IP or confidential information.

19) Miscellaneous

  • Assignment. You may not assign these Terms without our prior written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • Severability. If any provision is unenforceable, the remainder remains in effect.
  • Force Majeure. We are not liable for delays or failures due to events beyond our reasonable control (e.g., internet outages, DDoS, natural disasters, labor disputes).
  • Entire Agreement; No Waiver. These Terms (and documents incorporated by reference) are the entire agreement and supersede prior understandings. Our failure to enforce a provision is not a waiver.
  • Notices. We may provide notices via email, in‑product messages, or website postings. You must keep your email current.
